Founding Membership Agreement

1. Overview

This Founding Membership Agreement (“Agreement”) is entered into between Unbound Golf LLC (“Unbound Golf,” “we,” “us”) and the undersigned member (“Member,” “you”).

By purchasing a Founding Membership, you agree to the terms and conditions set forth herein, as well as all posted facility rules, policies, and procedures.

2. Founding Membership Fee

One-time fee: $7,500 + applicable sales tax.

This is a non-refundable, non-transferable fee (unless otherwise approved in writing by Unbound Golf).

If Unbound Golf does not open for business within twelve (12) months of purchase, the Member shall be entitled to a full refund of the Founding Membership fee paid.

If Unbound Golf ceases operations within twelve (12) months of opening, Unbound Golf may, in its sole discretion, offer a prorated refund or credit to Founding Members based on unused benefits; however, no refund shall be guaranteed.

3. Founding Member Benefits

Founding Membership benefits begin upon the official opening of the facility. All benefits are subject to availability and applicable facility rules.

3.1 Included Monthly Usage

Member receives three (3) complimentary bay hours per calendar month.

• Included hours reset monthly (no rollover).
• Included hours are redeemable in Open Bays only, subject to availability.

3.2 Preferred Lifetime Pricing

Founding Members receive guaranteed lowest available member rates for additional hours.

Initial Founding Member rates for additional hours:

• Open Bays: $40/hour
• Private Bay: $55/hour

Unbound Golf reserves the right to adjust pricing at any time; however, Founding Members will always receive the lowest rate offered to any membership tier for additional hours.

3.3 Booking Privileges

Founding Members receive priority booking access up to 21 days in advance, the earliest available booking window.

3.4 Additional Benefits

• Access to member-only hours
• Discounts on leagues and tournaments
• Exclusive Founding Member swag
• Permanent recognition inside the facility (format determined based on total Founding Members)

4. Booking & Usage Policies

The following policies apply to booking and use of the facility.

4.1 Booking Responsibility

The Member making a reservation (“Booking Party”) is fully responsible for:

• All individuals included in the reservation
• Ensuring all participants comply with Unbound Golf rules and policies
• Any damages, misuse, or violations caused by any person in their party

4.2 Waiver & Assumption of Risk

By making a booking, the Member:

• Represents and warrants that they have informed all guests of the risks associated with simulator use
• Accepts full responsibility for all guests within their party, regardless of whether Unbound Golf staff are present
• Agrees that all guests are deemed to have accepted Unbound Golf’s waiver of liability

All use of the facility is subject to Unbound Golf’s rules, policies, and liability waiver, which will be provided prior to first use and may be updated from time to time.

Unbound Golf reserves the right to require individual waivers at any time.

4.3 Guest Limits & Accuracy

Member must accurately indicate the number of players at time of booking.

Unbound Golf reserves the right to limit occupancy per bay.

4.4 Surveillance & Monitoring

All simulator bays and common areas are subject to 24-hour video surveillance.

All guests are deemed to have accepted this policy as a condition of entry and use of the facility.

Surveillance may be used for:

• Safety enforcement
• Rule compliance
• Damage verification
• Law enforcement

5. Conduct & Facility Rules

Members and guests must:

• Follow all posted rules and staff instructions
• Use equipment responsibly
• Respect other guests and property

Unbound Golf reserves the right to suspend or revoke membership for misconduct and to refuse service at its sole discretion.

6. Damage & Liability

The Member agrees to be financially responsible for any damage caused by themselves or their guests and to reimburse Unbound Golf for repair or replacement costs.

7. Assumption of Risk & Liability Waiver

Use of golf simulators and related activities involves inherent risks.

By entering the facility, the Member agrees to assume all risks of injury, damage, or loss, whether known or unknown, and to release and hold harmless Unbound Golf LLC, its owners, employees, and affiliates from liability for personal injury, property damage, and loss or theft.

This release includes claims arising from the ordinary negligence of Unbound Golf to the fullest extent permitted by law.

8. Membership Terms & Modifications

Founding Membership benefits are intended to be ongoing; however, Unbound Golf reserves the right to modify pricing structures, booking rules, operating hours, and policies and procedures.

Any changes will not eliminate core Founding Member benefits but may adjust how they are administered and will be provided to Founding Members in written form.

8.1 Facility Availability

Unbound Golf reserves the right to close the facility, in whole or in part, from time to time for reasons including, but not limited to:

• Maintenance or repairs
• Private events or periods of exclusive use
• Tournaments, leagues, or special programming
• Holidays or operational needs

While Unbound Golf intends to operate the facility on a consistent and reliable basis, Members acknowledge that availability may vary from time to time.

Unbound Golf will make reasonable efforts to minimize disruptions to members; however, such closures or limited availability shall not entitle Members to any refund, credit, or extension of benefits.

9. Non-Transferability

Membership is non-transferable without prior written consent.

Unauthorized resale or sharing may result in termination.

10. Termination

Unbound Golf may suspend or terminate membership if:

• Terms are violated at the discretion of Unbound Golf management
• Payment issues arise
• Misconduct occurs at the discretion of Unbound Golf management

No refunds will be issued upon termination.

11. Miscellaneous

This Agreement constitutes the full understanding between parties.

This Agreement is governed by the laws of the State of New Jersey.

Any disputes shall be resolved in New Jersey courts.

12. Acknowledgment

By signing this agreement, you acknowledge that:

• You have read and understand this Agreement
• You accept all risks associated with facility use
• You agree to all terms and conditions
• This agreement serves as the full Founding Membership Agreement and may only be amended by Unbound Golf in its sole discretion
• This Agreement may be accepted electronically, and such acceptance shall be deemed equivalent to a physical signature
